A regional private equity firm seeks to take on an experienced compliance professional to develop, implement, administer and enforce the firm’s compliance management program and to provide compliance advice, monitoring and support, particularly to front office investment professionals, to ensure that internal policies and procedures, laws, regulations and ethical standards are strictly adhered to.
Primary tasks:
* Develop, implement, enhance, monitor and enforce the firm’s compliance program, and monitor compliance of the business with the relevant rules, regulations, internal policies and procedures (including environmental, social, governance, business integrity, as well as health and safety standards). Perform periodic compliance reviews to ensure adequacy of internal policies and procedures.* Maintaining working knowledge of legislative and regulatory environment in relevant jurisdictions, relationship management and communication with regulatory authorities, and oversight of regulatory audits.
* Oversight of compliance issues and checklists related to investment activities and processes for contemplated investments (e.g. due diligence reviews, transaction agreements/documentation/files, business principles, KYC and AML, environmental, social and governance).
* Compiling compliance related information from portfolio companies and monitoring activities for reporting purposes.
* Conduct quarterly (or as needed) review of supporting documentation on investee companies and ongoing due diligence performed by the investment team.
* Coordinate with external counsel and the internal investment teams in respect of regulatory, reputational and compliance risk.
* Liaise with outsourced fund administrator and checking its output, coordinating draw-downs.
* Review fund raising and investor correspondence, marketing and promotional materials, and announcements and transactional memoranda to identify any compliance or regulatory concerns.
* Checking and managing conflicts of interest, and incident and breach reporting
* Track and ensure timely filing of all reporting obligations.
* Development, delivery and monitoring of compliance training.
* Other related duties as required. Travel may be necessary.
Required experience:
* Minimum 7 years relevant experience in compliance, legal or regulatory position at a respected financial institution or investment management firm.
* Demonstrable track record in implementing and managing of compliance programs.
* Exceptional oral and written communication skills; strong presentation and organizational skills.
* Exceptional attention to detail.
* Familiarity or experience of private equity industry practices and knowledge of regulatory requirements a plus.
